But another significant development just around the corner is the implementation of the new Design and Distribution Obligations which take effect from 5th October.<\/h3>\n<h3>Riskinfo thanks <strong>Sophie Gerber<\/strong> from compliance and legal specialist firm, <a href=\"https:\/\/sophiegrace.com.au\/\" target=\"_blank\" rel=\"noopener\">Sophie Grace<\/a>, for the opportunity to re-publish this excellent summary of the DDO requirements and what this will mean &#8211; not just for product manufacturers, but also for product distributors&#8230;<\/h3>\n<\/div>\n<\/div>\n<p><!--more--><\/p>\n<p>The commencement of the Design and Distribution Obligations (\u201cDDO\u201d) is now imminent with the regime coming into effect from 5 October 2021.<\/p>\n<p><strong>Background<\/strong><\/p>\n<p>The origins of the design and distribution obligations are well-articulated in ASIC\u2019s <a href=\"https:\/\/download.asic.gov.au\/media\/5886971\/rg274-published-11-december-2020.pdf\" target=\"_blank\" rel=\"noopener\">Regulatory Guide 274<\/a>.\u00a0 Similar provisions have been implemented in other major jurisdictions around the world such as the United Kingdom (by the <a href=\"https:\/\/www.handbook.fca.org.uk\/handbook\/COBS\/9\/2.html\" target=\"_blank\" rel=\"noopener\">Financial Conduct Authority<\/a>) and Europe (by the <a href=\"https:\/\/www.esma.europa.eu\/press-news\/esma-news\/esma-publishes-final-guidelines-mifid-ii-suitability-requirements\" target=\"_blank\" rel=\"noopener\">European Securities and Markets Authority<\/a>).<\/p>\n<p>In Australia, the <a href=\"https:\/\/treasury.gov.au\/publication\/c2014-fsi-final-report\" target=\"_blank\" rel=\"noopener\">Financial System Inquiry\u2019s<\/a> (FSI) recommendation for the introduction of the design and distribution obligations in 2014 was based on its view of the limitations of a framework for consumer protection in financial services that relies heavily on disclosure, financial advice and financial literacy.<\/p>\n<p>In particular, the FSI concluded that <em>\u2018disclosure can be ineffective for a number of reasons\u2019 and that \u2018disclosure alone is unlikely to correct the effect of broader market structures and conflicts that drive product development or distribution practices\u2019<\/em> that result in poor consumer outcomes.<\/p>\n<p>The FSI concluded that poor design and distribution practices played a significant role in contributing to consumer detriment. It is in this context that the FSI recommended the introduction of the design and distribution obligations as a supply-side intervention that places additional responsibility for consumer outcomes on issuers and distributors.<\/p>\n<p>The design and distribution obligations are intended to help consumers obtain appropriate financial products by requiring issuers and distributors to have a consumer-centric approach to designing and distributing products.<\/p>\n<p><a href=\"https:\/\/www.legislation.gov.au\/Details\/C2019A00050\" target=\"_blank\" rel=\"noopener\">The Treasury Laws Amendment (Design and Distribution Obligations and Product Intervention Powers) Bill 2019<\/a> received Royal Assent on 5 April 2019 which amended the Corporations Act, the NCCP Act, and the ASIC Act.<\/p>\n<p><strong>Who does the Regime Apply to?<\/strong><\/p>\n<p>The DDO apply to a range of financial products under the <a href=\"https:\/\/www.legislation.gov.au\/Details\/C2021C00274\" target=\"_blank\" rel=\"noopener\">Corporations Act 2001<\/a> (\u201cCorporations Act\u201d), <a href=\"https:\/\/www.legislation.gov.au\/Details\/C2021C00281\" target=\"_blank\" rel=\"noopener\">ASIC Act 2001<\/a> (\u201cASIC Act\u201d) and <a href=\"https:\/\/www.legislation.gov.au\/Details\/C2021C00292\" target=\"_blank\" rel=\"noopener\">National Consumer Credit Protection Act 2009<\/a> (\u201cNCCP Act\u201d).<\/p>\n<p><a href=\"https:\/\/riskinfo.com.au\/news\/files\/2021\/09\/210924-Sophie-Grace-Chart.png\"><img loading=\"lazy\" decoding=\"async\" class=\"aligncenter size-full wp-image-57688\" src=\"https:\/\/riskinfo.com.au\/news\/files\/2021\/09\/210924-Sophie-Grace-Chart.png\" alt=\"\" width=\"641\" height=\"632\" srcset=\"https:\/\/riskinfo.com.au\/news\/files\/2021\/09\/210924-Sophie-Grace-Chart.png 641w, https:\/\/riskinfo.com.au\/news\/files\/2021\/09\/210924-Sophie-Grace-Chart-300x296.png 300w, https:\/\/riskinfo.com.au\/news\/files\/2021\/09\/210924-Sophie-Grace-Chart-426x420.png 426w, https:\/\/riskinfo.com.au\/news\/files\/2021\/09\/210924-Sophie-Grace-Chart-50x50.png 50w\" sizes=\"auto, (max-width: 641px) 100vw, 641px\" \/><\/a><\/p>\n<p>There are some product exemptions, including:<\/p>\n<ul>\n<li>MySuper products<\/li>\n<li>Margin lending facilities<\/li>\n<li>Fully paid ordinary shares in a company, including foreign companies<\/li>\n<li>Securities issued under an employee share scheme<\/li>\n<\/ul>\n<p>There are also exemptions for certain conduct.<\/p>\n<p>Further exemptions are in the process of being finalised by Treasury and ASIC with the intention that they will be in place prior to commencement of the DDO regime.<\/p>\n<p><strong>What are the Obligations?<\/strong><\/p>\n<p><span style=\"text-decoration: underline;\">Product Governance Arrangements<\/span><\/p>\n<p>Issuers and distributors need to consider how they will implement and maintain robust product governance arrangements. These arrangements need to consider each stage of product design and development \u2013 including design, distribution, monitoring and review. ASIC expects that product governance arrangements will be client-centric and include appropriate steps to ensure:<\/p>\n<ul>\n<li>Representatives are trained in their understanding of the product governance arrangements and how this applies to the products developed and\/or distributed by the licensee<\/li>\n<li>Compliance with the product governance arrangements and appropriate reporting lines where the arrangements have been breached<\/li>\n<\/ul>\n<p><span style=\"text-decoration: underline;\">Target Market Determination (TMD)<\/span><\/p>\n<p>Issuers need to develop a TMD for each of their financial products and make it publicly available prior to distributing their products. TMDs must:<\/p>\n<ul>\n<li>Describe the class of retail clients that form the target market<\/li>\n<li>Specify any restrictions on distribution<\/li>\n<li>specify events or circumstances that may reasonably suggest a TMD is no longer appropriate<\/li>\n<li>Specify reasonable review periods<\/li>\n<li>Specify when a distributor should provide information about the number of complaints about each product<\/li>\n<li>Specify the type of information the issuer needs to identify promptly, whether a review trigger or another event has occurred, which would reasonably suggest that the TMD is no longer appropriate<\/li>\n<\/ul>\n<p><span style=\"text-decoration: underline;\">Reasonable Steps<\/span><\/p>\n<p>Issuers and distributors have the obligation to take reasonable steps, that will or are reasonably likely to result in the distribution of the financial products being consistent with the TMD.<\/p>\n<p><span style=\"text-decoration: underline;\">Record Keeping<\/span><\/p>\n<p>Issuers are required to keep specific records about the TMD it prepares, and distributors are required to keep records of distribution information as specified in the TMD.<\/p>\n<p><span style=\"text-decoration: underline;\">Significant Dealings<\/span><\/p>\n<p>Issuers are required to notify ASIC of significant dealings in relation to the TMD within 10 business days of becoming aware of the dealing. RG274 prescribes certain information which must be included in the notification to ASIC.
